Container Ownership and Use: webuyoil.us will provide and own the containers for UCO storage at the Seller’s location. The Seller is responsible for keeping the containers in good condition and only using them for UCO.
Pickup and Payment: webuyoil.us will arrange UCO pickups based on production and storage needs. Payment is made based on the volume and quality of the UCO, with deductions if the oil contains more than 5% moisture or impurities.
Termination and Renewal: Either party can terminate this agreement with 30 days’ written notice. The agreement will automatically renew each year unless either party gives prior notice of non-renewal.
Non-Circumvention: The Seller agrees not to directly contact or establish business with any of webuyoil.us‘ third-party service providers, suppliers, or partners without prior consent, even after this agreement ends.
Price Adjustments: webuyoil.us reserves the right to adjust UCO purchase prices based on market changes, with 14 days’ notice to the Seller.
Confidentiality: Both parties agree to keep business terms, pricing, volumes, and any proprietary information confidential, even after the agreement ends.
Liability and Indemnification: webuyoil.us is not liable for damages during UCO collection, except in cases of gross negligence. The Seller will indemnify the Buyer against any claims related to spills, contamination, or operational issues caused by the Seller.
Force Majeure: Neither party is responsible for delays or failure to perform due to unforeseen events beyond their control, such as natural disasters or emergencies.
Governing Law and Disputes: This agreement is governed by Massachusetts law. Disputes will be addressed through mediation before any legal action is taken.
